1. Acceptance of Terms
By creating an account on UnitClear (unitclearems.com), you agree to these Terms of Service. If you do not agree, do not use the service.
2. Service Description
UnitClear LLC provides a mobile-first fleet inspection platform for EMS and Fire agencies. Features include digital rig check forms, AI-powered damage analysis, real-time fleet dashboards, shift accountability tracking, and compliance audit trails.
3. AI-Generated Content
UnitClear uses artificial intelligence to analyze inspection photos, generate fleet insights, and provide operational summaries. AI-generated content is advisory only and does not replace professional judgment. You are responsible for reviewing and acting on AI recommendations at your own discretion. UnitClear LLC is not liable for decisions made based on AI-generated content.
4. Sandbox / Demo Access
UnitClear offers a live sandbox environment for prospective customers. The sandbox uses a shared demo account with pre-populated sample data. Sandbox data is automatically reset every 2 hours. No service-level agreement (SLA) applies to sandbox usage, and no data entered during a sandbox session is retained after a reset. Sandbox access does not require registration or payment.
5. Subscription & Billing
5.1 Plan Structure
Subscriptions consist of a monthly base fee plus a per-vehicle fee for each unit in your fleet. Three plans are available:
- Starter — up to 10 vehicles, $18/vehicle/month
- Pro — up to 30 vehicles, $15/vehicle/month
- Enterprise — unlimited vehicles, $12/vehicle/month
5.2 Monthly Billing
Monthly subscriptions are billed on a recurring monthly basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
14-day free trial: New subscriptions include a 14-day free trial. No charges apply during the trial period. On the trial end date, your payment method on file is automatically charged for the first billing period (base plan fee plus per-vehicle charges, or the annual fee for annual subscriptions). You may cancel anytime during the trial through the Billing portal to avoid any charges. Promo codes and the free trial cannot be combined — applying a promo code starts billing immediately.
Automatic vehicle adjustment: When you add or remove vehicles from your fleet, your subscription is automatically updated to reflect the current vehicle count. Charges or credits are prorated for the remainder of the current billing period. For example, if you start with 5 vehicles and add 2 mid-month, you will be charged a prorated amount for the 2 additional vehicles for the remaining days, and your next invoice will reflect 7 vehicles.
5.3 Annual Billing
Annual plans receive a 15% discount on the base plan fee and are billed as a single upfront payment for 12 months. The per-vehicle rate is the same as the monthly rate, billed annually (e.g., $15/vehicle/month × 12 = $180/vehicle/year for the Pro plan).
Vehicle count: Your annual subscription is based on the vehicle count and plan tier selected at the time of purchase. If your fleet grows beyond your plan's vehicle limit, you must upgrade to a higher-tier plan or contact support to adjust your subscription. Adding vehicles within your plan limit will result in prorated charges for the remainder of the annual term.
Cancellation: You may cancel at any time; however, annual payments are non-refundable to the extent permitted by applicable law. Upon cancellation, your access continues until the end of the prepaid annual term.

5.5 Plan Changes & Proration
You may upgrade or downgrade your plan at any time. When downgrading, your current vehicle count must not exceed the new plan's vehicle limit. All mid-cycle changes — including plan upgrades, downgrades, vehicle count adjustments, and billing interval switches — are prorated. You will be charged or credited for the difference based on the remaining time in your current billing period.
You may switch between monthly and annual billing at any time. Proration applies when switching intervals.
5.6 Failed Payments
If a payment fails, your subscription enters a 7-day grace period during which the service remains accessible. If payment is not resolved within the grace period, access may be suspended until the outstanding balance is settled.
6. Data Retention
Inspection records are retained for a minimum of 7 years in accordance with EMS/Fire regulatory requirements. Audit logs are retained for 2 years. Upon account cancellation, data is retained for the mandatory retention period before deletion.
7. Service Availability
UnitClear targets 99.5% uptime for paid subscriptions, measured on a monthly basis excluding scheduled maintenance windows. This is a target, not a guarantee. We will use commercially reasonable efforts to maintain service availability. Planned maintenance will be communicated via email at least 24 hours in advance. No SLA or uptime commitment applies to the free sandbox/demo environment.
8. Acceptable Use
You may not use UnitClear for unlawful purposes, to store protected health information (PHI) without a signed BAA, or to reverse-engineer the service. You are responsible for all activity under your organization's account. You further agree not to upload viruses, malware, or malicious code, and not to use automated systems (such as bots or scrapers) to access, monitor, or extract data from the service.
9. Limitation of Liability
UnitClear LLC is provided “as is” and “as available” without warranties of any kind, express or implied. AI-generated analysis (including damage severity assessments) is advisory and does not replace professional mechanical inspection or judgment. UnitClear LLC is not liable for indirect, incidental, or consequential damages arising from your use of the service. Our total liability to you shall not exceed the fees paid to UnitClear LLC in the 3 months preceding the claim, or $100 USD, whichever is greater, to the maximum extent permitted by applicable law.
10. Intellectual Property
All content, design, software, and features of the UnitClear platform — including but not limited to text, graphics, logos, and code — are the property of UnitClear LLC and are protected by applicable United States and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
11. Governing Law & Dispute Resolution
11.1 Informal Dispute Resolution
We want to address your concerns without needing a formal legal case. Before filing a claim against UnitClear LLC, you agree to try to resolve the dispute informally by contacting us at legal@unitclearems.com. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or UnitClear LLC may bring a formal proceeding.
11.2 Binding Arbitration
You and UnitClear LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be settled by binding arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
11.3 Class Action Waiver
You and UnitClear LLC agree that any claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
11.4 Governing Law and Venue
These Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. For any actions not subject to arbitration, the exclusive jurisdiction and venue will be the state and federal courts located in San Diego, California, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
12. User Data & AI License
You retain all ownership rights to the data, inspection records, and photos you submit to UnitClear. By uploading content, you grant UnitClear LLC a worldwide, non-exclusive, royalty-free license to use, store, and process your data strictly to provide, maintain, and support the service. Furthermore, you grant us the right to use anonymized and aggregated data (which cannot identify you, your agency, or any specific individuals) to train, evaluate, and improve our AI algorithms and overall platform features.
13. Indemnification
You agree to indemnify, defend, and hold harmless UnitClear LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights or applicable laws (including but not limited to HIPAA or other privacy regulations).
14. Suspension and Termination
We reserve the right to suspend or terminate your account and access to the service at any time, in our sole discretion and without prior notice, if you breach these Terms of Service, fail to pay outstanding subscription fees, or engage in activity that threatens the security or integrity of UnitClear. Upon termination by us, you will remain liable for all amounts due up to and including the date of termination.
15. Changes to Terms
UnitClear LLC reserves the right to modify these Terms of Service at any time. We will provide notice of material changes via email to the address associated with your account or through an in-app notification. Your continued use of the service after any modifications become effective constitutes your binding acceptance of the updated Terms.
16. General Provisions
Force Majeure: UnitClear LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, natural disasters, strikes, cyberattacks, or outages of third-party infrastructure (e.g., cloud hosting providers).
Severability: If any provision of these Terms is found by a court or arbitrator to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
